Terms of use.

These terms govern your use of counterhold.com, a free informational website. You may quote what we publish with attribution, and the incident tracker and guardrail checklist are licensed CC BY 4.0. Use our attack scenarios only on systems you are authorized to test. The site comes without warranties and is not legal advice.

Effective October 22, 2026.

1. Who we are and accepting these terms

counterhold.com (the “site”) is operated by Futurist IP, a corporation in Ontario, Canada (“we”, “us”). Counterhold is a product of Futurist IP. By using the site you agree to these terms. If you don’t agree, please don’t use the site. If you use the site on behalf of an organization, you agree on its behalf and confirm you are allowed to.

Our privacy policy explains how we handle personal information. Our security page explains how to report a vulnerability.

2. What the site is

The site publishes information about how AI agents that handle money can be manipulated: an incident tracker, attack families, test scenarios, guides, regulation summaries, a glossary and a sample report. It is free and requires no account.

Descriptions of how Counterhold works may change. These terms cover the website only. Any use of a Counterhold testing service would be covered by a separate written agreement.

3. Sign-ups and contact

Signing up or contacting us creates no obligation for you or for us. You don’t commit to buy anything, and we don’t promise specific features, dates or prices. You can unsubscribe at any time. How we handle your email address is described in the privacy policy.

If you send us ideas, feedback, incident tips or corrections, you allow us to use them for any purpose, without restriction or payment, and you confirm you have the right to share them. We may publish a correction or incident tip without naming you, unless you ask to be credited. Please don’t send us confidential information. We can’t treat unsolicited messages as confidential.

4. Using our content

  • Incident tracker and guardrail checklist. These are licensed under the Creative Commons Attribution 4.0 International license (CC BY 4.0). You may copy, adapt and share them, including commercially, if you credit Counterhold (for example “Counterhold incident tracker”), link to the source page and indicate any changes. The license covers our own text and data only. It doesn’t cover third-party quotes, documents or images we cite, and it doesn’t give you any right to use the Counterhold or Futurist IP names or logos except to credit us. Don’t present an adapted version as ours or suggest we endorse it. The license includes its own disclaimer of warranties.
  • Everything else (text, scenarios, attack library, guides, design and code) is © Futurist IP, all rights reserved. You may quote reasonable excerpts with attribution to Counterhold and a link to the page. Republishing whole pages, the scenario library or substantial parts of the site requires our written permission.
  • Third-party material. Quotes, court documents, regulations and other sources we cite belong to their owners and are not covered by our license. Follow the original source’s terms.

5. Acceptable use

We publish attack families and scenarios so teams can test and defend their own agents. They are for defensive testing, research and education.

When using the site, you agree not to:

  • scrape, crawl or download the site in a way that places an unreasonable load on it (normal search engine and AI crawling that follows our robots.txt is welcome)
  • attack the site or its providers, attempt to gain unauthorized access, interfere with its operation, or test its security outside our disclosure policy
  • use the forms to send unsolicited email, to sign up people without their permission, or to submit automated or abusive messages
  • use our attack families, scenarios or other content against any system, agent or business you don’t own or don’t have permission to test, including to obtain refunds, discounts, credits or other value you aren’t entitled to. Doing so may break fraud, computer misuse and consumer protection laws.
  • use the site in breach of any law, or to misrepresent your affiliation with us.

We may block access to anyone who breaks these rules. You are responsible for how you use the content on this site.

6. Scenarios, third-party names and links

Some scenarios are inspired by films, books or well-known situations. We describe them in our own words. We are not affiliated with, endorsed by or sponsored by their creators or rights holders.

Product and company names on the site are trademarks of their owners. We use them only to refer to those companies and products, for example to report a public incident or explain how a platform works. Counterhold is not affiliated with, endorsed by or sponsored by any company named on the site, and naming a platform doesn’t mean Counterhold works with it or has tested it. Platform guides are based on each platform’s public documentation on the date shown and may be out of date.

Links to other sites are provided for reference. We don’t control those sites and aren’t responsible for their content, availability or privacy practices.

7. Corrections and removal requests

Incident entries summarize public reports, court records, company statements and research, and link to those sources. They describe what the sources reported as of the date we checked them, and they don’t add findings of our own about any person or company.

If you believe something we published is inaccurate, out of date or unfair, email contact@counterhold.com with the subject “Correction” and tell us the page, the statement, what is wrong and any source that shows it. We review every request in good faith. Where a correction is warranted we update the page and note the change and its date on it. We may also add a company’s response or a later outcome. We decide what to publish, and we don’t remove accurate reporting of public events because it is unflattering.

8. Copyright complaints

If you believe content on the site infringes your copyright, email contact@counterhold.com with the subject “Copyright”. Include the work, the page and the material, your contact details, and a statement that you believe in good faith the use isn’t authorized. We will review it and remove or change material where appropriate.

9. Disclaimers

The site and its content are provided “as is” and “as available”. To the extent the law allows, we make no warranties of any kind, express or implied, including warranties of accuracy, completeness, fitness for a particular purpose, non-infringement, or that the site will be available or error-free.

Content on the site is general information, not legal, compliance, regulatory, financial or security advice. Regulation summaries may be out of date and don’t cover every jurisdiction. Get advice from a qualified professional about your own situation. Following our guides or checklist doesn’t guarantee that an agent is safe or compliant.

Incident entries and platform guides reflect the sources available on the date shown and may be incomplete or out of date. Scenarios are fictional test cases. Where a scenario is inspired by a film, show or book, it uses the idea, not the work, and no character, company or person in a scenario is meant to describe a real one. Sample figures, reports and transcripts are invented to show what a result looks like. They don’t describe real tests of real customers’ agents.

10. Limitation of liability

To the extent the law allows, Futurist IP and its directors, officers, employees and contractors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of, or inability to use, the site or its content, even if we were told such damages were possible.

Because the site is free, our total liability for all claims relating to the site is limited to US $100.

Nothing in these terms excludes or limits liability that can’t be excluded or limited by law, such as liability for fraud, gross negligence or willful misconduct. Nothing in these terms limits any rights you have under the consumer protection law that applies to you. If a provision of these terms can’t apply to you because of that law, it doesn’t, and the rest of these terms still do.

11. Indemnity

If you break section 5 (acceptable use), including by using our content to test or attack a system you aren’t authorized to test, you agree to cover the reasonable losses and costs, including legal fees, that Futurist IP incurs from third-party claims arising from that breach.

12. Governing law and courts

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law rules. The courts located in Toronto, Ontario have exclusive jurisdiction over any dispute about the site or these terms, and you and we submit to their jurisdiction. If you are a consumer, this choice of law and courts doesn’t take away the protection of the mandatory consumer laws of the place where you live, or any right you have to bring proceedings in the courts there.

13. General

If any part of these terms is found unenforceable, the rest stays in effect. If we don’t enforce a term, we haven’t waived it. These terms, with the privacy policy, are the whole agreement between you and us about the site. We may transfer these terms to a company that takes over the site or Counterhold. You may not transfer your rights under them. Nobody else has rights under these terms. Section headings are for convenience only.

14. Changes

We may update these terms. We will post the new version here with a new effective date. Changes apply from that date to your use of the site after it, not to anything that happened before. Continuing to use the site after that means you accept them.

15. Contact
